NETSOL Allots 96,244 Treasury Shares to Employees Under ESOS

NETSOL Technologies Limited has executed the transfer of 96,244 treasury shares to qualifying employees pursuant to its approved Employees Stock Option Scheme (ESOS), as notified to the Pakistan Stock Exchange (PSX) through a material information disclosure.

The company disclosed that the allotment and transfer were authorised by way of a special resolution adopted at the Extra-Ordinary General Meeting (EOGM) convened on December 31, 2024, in full compliance with Regulation 13(6)(b) of the Listed Companies (Buy-Back of Shares) Regulations, 2019.

The treasury shares were transferred at the determined price of Rs77.84 per share, with the allotments credited directly into the respective employees’ Central Depository System (CDS) accounts maintained with the Central Depository Company of Pakistan Limited.

This follows a prior transaction in September 2025, wherein NETSOL had similarly allotted 241,828 treasury shares to eligible employees under the same ESOS framework at the identical price of Rs77.84 per share.

The disclosure was submitted in accordance with the requirements of Section 96 of the Securities Act, 2015, and Clause 5.6.1(a) of the PSX Rule Book, with a request for immediate dissemination to all Trading Right Entitlement Certificate (TREC) holders and market participants.
