Netsol Proposes ESOS and Treasury Share Sale to Employees

Netsol Technologies Limited has proposed the introduction of an employee share option scheme (ESOS) along with the sale of treasury shares to employees, as disclosed in a filing submitted to the Pakistan Stock Exchange on Monday.

In a board meeting held on April 30, 2026, the company approved recommendations to obtain shareholder consent for the ESOS through a special resolution.

Under the proposed plan, up to 5 million share options—equivalent to approximately 5.57% of the company’s existing paid-up capital—will be granted to eligible employees, including members of senior management.

The exercise price for these options will be fixed at a 50% discount to the closing market price on the date of grant. The company stated that the initiative is designed to align employee incentives with shareholder interests and promote long-term value creation.

In addition, the board has proposed the sale of 2,690,251 treasury shares to employees under the framework of the share option scheme, in compliance with relevant regulatory requirements.

The board has also resolved to convene an extraordinary general meeting (EOGM) on June 3, 2026, in Lahore to seek shareholder approval for the proposed measures.

The company further announced that its share transfer books will remain closed from May 28 to June 3, 2026, with transfers received by May 27 qualifying for participation and voting rights at the meeting.

The ESOS is intended to serve as a long-term incentive mechanism and enhance employee retention through equity-based participation.
